Welcome to the ABC Alumni Community! This constitution serves as the foundational document for our community, outlining our mission, values, and organizational structure. Our alumni community is dedicated to fostering lifelong connections among graduates, promoting professional and personal growth, and supporting the ongoing development of our alma mater. By establishing clear guidelines and objectives, we aim to create a vibrant, inclusive, and supportive network that empowers all members to contribute meaningfully to our shared legacy.
Constitution of the AUC Alumni Benefits Community
Preamble
We, the members of the AUC Alumni Benefit Community, establish this Constitution to foster collaboration, support professional growth, and enhance connections among alumni of the American University in Cairo (AUC). Our aim is to create a structured yet informal initiative that empowers alumni and serves their interests.
Article I: Name
The name of this organization shall be the AUC Alumni Benefits Community (hereinafter referred to as "the Community").
Article II: Purpose
The purpose of the Community shall be to:
· Strengthen connections among AUC alumni through enhanced social capital networking.
· Promote economic growth and entrepreneurship.
· Provide educational and professional opportunities, including job matchmaking.
· Support impactful civil society initiatives.
· Leverage the collective power of the AUC alumni community for mutual benefit.
Article III: Membership
· Eligibility: Membership shall be open to all graduates of the American University in Cairo.
· Rights and Responsibilities: Members shall have the right to participate in all community activities and shall be responsible for adhering to the Community's guidelines and values.
Article IV: Guiding Principles
The Community shall reflect the diversity of AUC’s alumni in terms of geography, gender, age, occupation, and interests. We operate independently and autonomously, collaborating with AUC to meet alumni needs without acting as representatives of the university. we do not solicit any funds in any way shape or form in the name of the university
Article V: Governance
1. Council Structure:
The Community shall be governed by a Council composed of fifteen (15) voting members, representing alumni from around the globe. Candidates must be AUC alumni with prior volunteer experience and a commitment to advocacy for the Community.
2. Term and Elections:
Council members shall serve staggered terms of two years, with eligibility for re-election for one additional consecutive term. Elections will occur annually on October 19th, with service beginning November 19th. Outgoing Presidents will serve one year as non-voting consultants to ensure continuity.
3. Meetings:
The Council shall convene at least once a month, allowing participation via physical or virtual means. A quorum, defined as a majority of Council members, is necessary for decision-making. Council Members must attend at least 70% of meetings, with those falling short deemed to have resigned.
4. Voting:
Decisions will generally require a simple majority, except for significant matters requiring a two-thirds majority. Actions may also be taken without a meeting if all members consent in writing or via circulation of case document.
5. Committees:
The Council may form committees to assist in executing its mission, with responsibilities including planning events, encouraging alumni engagement, and maintaining communications. These committees will be periodically reviewed.
Article VI: Council Officers
Officers:
The Council shall elect from among its members a President, Vice President, Secretary, and Treasurer. Each officer will serve a term subject to re-election, and Council members residing outside Egypt are not eligible for officer positions.
Duties:
· President: The chief executive officer and spokesperson, responsible for calling and presiding over meetings.
· Vice President: Acts in the absence of the President and fulfills additional duties as assigned.
· Secretary: Manages communications and records minutes of meetings, along with providing quarterly updates.
· Treasurer: Oversees financial records, prepares budgets, and ensures transparency in financial matters.
Article VII: Values
The Community shall uphold the following core values:
· Excellence: Striving for the highest standards in all endeavors.
· Diversity: Promoting understanding and respect for diverse perspectives.
· Social Responsibility: Committing to positive social impact and community engagement.
· Integrity: Upholding accountability and honesty in all actions.
· Lifelong Learning: Encouraging continuous personal and professional development.
Article VIII: Amendments
· Proposal: Any member in good standing may propose amendments to this Constitution.
· Approval: Amendments shall require a two-thirds majority vote at the Annual General Meeting (AGM) or a special meeting convened for that purpose.
Article IX: Dissolution
In the event of dissolution, any remaining assets shall be distributed to a charitable organization that aligns with the values and mission of the Community.
Article X: Ratification
This Constitution shall be ratified by a two-thirds majority of the founding members present at the inaugural meeting of the Community. Adopted on [Insert Date]
